A Denver-based communications firm is giving away $75,000 worth of creative services to one nonprofit organization.

Pure Brand Communications is accepting applications from nonprofit organizations across the country who need branding, marketing and other creative services. For one year, the company will treat the nonprofit agency like any other client.

The company, which is about eight years old, had been doing pro bono work for nonprofit organizations, but it was small bits of work. Instead, the company?s partners wanted to work on a single project that would have more impact, said Larry Holdren, Pure Brand partner.

?We really wanted a project where nearly everyone in our company of 25 people could be involved in some way, so that there is a real sense of ownership,? he said.

Last year, the company created ?Pure Good Works? and awarded one nonprofit agency one year of their creative services.

?We have a long history of supporting kid-related causes,? Holdren said. ?It?s a big part of who we are as an organization.?

The deadline is April 13. Holdren expects to receive dozens of applications and the recipient is expected to be announced in May.

?Times are tough right now for nonprofits,? Holdren said. ?We will have to say no to a a lot of really fantastic organizations. There are so many organizations that need help.?

Last year, Pure Brand gave its grant to ?Rachel?s Challenge,? a K-12 school assembly and eduction program inspired by Rachel Scott, the first student killed in the 1999 Columbine High School shootings. Rachel?s Challenge is a program that inspires a chain reaction of good deeds and kindness. Pure Brand created a brand strategy and messaging platform, a tactical plan, a promotional video and a social media strategy for the organization.

Holdren said all nonprofits, not just those with a kid-focus, are eligible to apply for the grant.

Lights on or off? Earth Hour faces new challenger

Earth Hour, the annual event?that turns off lights as a statement for cleaner energy, marks its fifth year this Saturday. But a free-market think tank is trying to get some traction with its alternative: the Human Achievement Hour, when people are encouraged to leave lights on to show their appreciation for inventions "and the recognition that future solutions require individual freedom not government coercion."

In one corner is?the conservation group WWF, which helped start Earth Hour in 2007 and expects that landmarks that will participate this year will include the Empire State Building, the Eiffel Tower, the Leaning Tower of Pisa and the world's tallest building, the Burj Khalifa in Dubai.

In the other corner is the Competitive Enterprise Institute, which isn't expecting to match Earth Hour's reach but aims to make a point when they battle from 8:30 p.m. to 9:30 p.m. this Saturday in time zones around the globe.


"Gather with friends in the warmth of a heated home, watch television, take a hot shower, drink a beer, call a loved one on the phone, or listen to music," the institute says on its website.

"If you?re going to vote you need at least two choices," says Michelle Minton, the Competitive Enterprise Institute fellow who came up with HAH in 2009. "While I believe that a lot of people celebrating Earth Hour truly just want a clean and healthy environment for themselves and their families -- a completely reasonable opinion, which I share --?I felt their support was being used by the environmentalist movement to spread a message that is much less positive."

"Many environmentalists see humans as fundamentally destructive and want to force individuals to conserve," she adds. "Earth Hour is an attempt to convince lawmakers that the majority of the population wants them to clamp down on progress."?

As for the numbers,?Minton?figures "between 1,000-2,000 people knowingly celebrate Human Achievement Hour." The HAH Facebook page had nearly 200 people signed up as of Thursday afternoon.

About 60 people watched an in-house party during the hour last year,?Minton says, and the?event will be live streamed again this year.?

Earth Hour, for its part, says it has commitments in 135 countries -- and one International Space Station.

"Earth Hour will extend to the International Space Station for the first time," the organizers said in a statement. "Astronaut and WWF ambassador Andre Kuipers will experience Earth Hour watching over the planet for the the European Space Agency."

Alabama club starts 'Food Stamp Friday' promotion

MONTGOMERY, Ala. (AP) ? A nightclub in Alabama's capital city has come up with a unique theme night involving food support for needy families.

The Rose Supper Club in Montgomery will start "Food Stamp Friday" theme nights in April.

Manager Harman Wilson says the night is meant to complement the club's other theme nights, such as Fat Tuesday, Karaoke Wednesday or Thirsty Thursday.

Wilson says patrons will not be able to use their food stamps to buy alcoholic beverages. He says he hopes the novel approach will draw people to the club.

Human Resources Department spokesman Barry Sparks says the department does not approve of the promotion. He says food assistance benefits are meant to provide nourishment for hungry families.

(AP) ? A political tip sheet for the rest of us outside the Washington Beltway, for Wednesday, March 28:

WHAT HAPPENED

HEAR YE-THIRD DAY: On the third day of Supreme Court arguments over President Barack Obama's health care overhaul, the justices sent signals that they could throw out key parts of the law if it first finds a requirement that individuals must buy health insurance is unconstitutional. On the final day of arguments, the court appeared to accept the administration's argument that at least two important insurance changes are so closely tied to the insurance requirement that they could not survive without it. Less clear was whether the court would conclude the entire law, with its hundreds of unrelated provisions, would have to be cast aside. The outcome of the case will affect nearly every American. The ruling, expected in June, also could play a role in the presidential campaign.

PRESIDENT 41: Former President George H.W. Bush is making it official Thursday and offering Romney his formal endorsement. The 41st president has had encouraging things to say about Romney throughout the campaign but had withheld his official backing. The Bush family has known Romney for years and the former president's wife, Barbara, and their son, former Florida Gov. Jeb Bush, both have endorsed Romney. So it seemed inevitable that the elder Bush would lend his support, too. Bush and Romney have scheduled a joint appearance Thursday afternoon at Bush's office in Houston.

GINGRICH: Newt Gingrich's campaign is getting a trim, again. But despite letting go a third of his staff and curtailing his campaign appearances, Gingrich says he will stay in the GOP race until front-runner Mitt Romney has the support he needs to become the nominee. Low on money, Gingrich's new strategy calls for him to spend less time campaigning and more time trying to persuade delegates to the party's national convention to back him. His campaign is also expected to begin emphasizing cheaper, digital outreach ? in particular YouTube, Twitter and other social media. Gingrich told a Washington, D.C., radio station that he owes it to his supporters to continue to represent their views, and that Romney has to earn the nomination.

ROMNEY'S PERSONAL SIDE: Expect to see a softer, gentler version of Romney in the coming weeks. Though his advisers reject the notion of a makeover or major shift in the campaign, it is typical for candidates to roll themselves out again in an effort to appeal to a broader swath of the electorate. The campaign is discussing how to present a more complete picture of Romney, from having him sit for TV interviews flanked by his five sons and 16 grandchildren to having his wife, Ann, appear on daytime talk or cooking shows. Ann Romney is likely to play a big role in introducing her husband to a wider audience. She has been a near constant companion on the campaign trail and aides say her mere presence softens his sometimes rough edges.

SANTORUM'S FRUGAL SIDE: Campaigning in Wisconsin, Rick Santorum suggested the state's primary should be decided in 10 frames. He spoke at South Lanes Bowling in La Crosse as he stood in bowling shoes for the third time in four days. Yet he wasn't eager to pay for everyone's outing. After a buffet lunch of pizza with a college Republican group, a waitress came around to let the co-eds know they still had a bill to pay. How come? Santorum's campaign had only paid for the candidate's meal. ? Contribution by Associated Press writer Philip Elliott.

BY THE NUMBERS:

A national CNN/ORC poll of registered voters finds Obama with a wide lead over Romney and Santorum. The poll, conducted March 24-25, has an error margin of plus or minus 3 percentage points.

? Obama 54 percent, Romney 43 percent.

? Obama 55 percent, Santorum 42 percent.

? Obama approval rating among all Americans: 51 percent, practically unchanged from a CNN/ORC poll in February.

BY THE NUMBERS II:

More than three-fourths of adults, or 77 percent, say rising gasoline prices are straining their family budgets, according to a national McClatchy-Marist Poll. The survey of 1,080 adults was conducted March 20-22 and has an error margin of plus or minus 3 percentage points.

?37 percent say they've experienced a great deal of strain.

?40 percent say they've felt a moderate pinch at the pump.

?12 percent say the higher costs have not had much of a strain on their family finances.

?10 percent report no financial strain at all.

BY THE NUMBERS III:

A Quinnipiac University poll shows Obama ahead of Romney and Santorum in two key states, Florida and Ohio, with Pennsylvania a toss-up in an Obama-Romney match. The margin of error was plus or minus 3 percent.

?Florida: Obama 49, Romney 42; Obama 50, Santorum 37.

?Ohio: Obama 47, Romney 41; Obama 47, Santorum 40.

?Pennsylvania: Obama 45, Romney 42; Obama 48, Santorum 41.

OVERHEARD:

Third, each set of children must learn about the new parent and adjust to him or her and accept the authority of this new adult in their lives. Fourth, at least one set of children and often both sets of children move to a new home, so that their familiar setting is gone. Fifth, the children who moved to a new home must figure out new schools and make new friends.?

All of this upset happens and we haven?t even talked about adjusting to new siblings yet.?

So add to all that the new siblings. This can be a delightful experience, like a perpetual sleepover, or it can be a source of continuous sniping. Children are naturally on the lookout for favoritism, unshared privileges, and seemingly intentional slights. They naturally seek to capture their birth parent?s attention. A child may try to sabotage the relationship between her own parent and a step-sibling or even with the step-parent.?

Things can get really ugly really fast.?

But, even in biological families, there are personality clashes, difficult moments, and unhappiness. So don?t be too quick to attribute rough patches to being a blended family ? what you?re experiencing may have a different source. And avoid blaming the past or a non-custodial birth parent. Raising a blended family takes some finesse and some sweetness, the same as every family needs. To help your family make the transition, here are some tips for step-parents:?

How To Avoid Being The Wicked Step-Parent?

  1. Accept that this won?t be easy for anyone and will take time. Don?t rush to create ?the perfect family.?
  2. Listen. Hear what?s being said for the information it conveys and not as criticism. When a child says, ?I hate this,? she?s saying she?s unhappy. She needs support, not an angry response.
  3. Be consistent without being rigid. Base decisions on a consistent framework or value system so that it?s not difficult for kids to anticipate what you might agree to. Be on the same page with your spouse.
  4. Recognize that children have a special bond with their birth parents, including the non-custodial parent. Make room for this. Adding a step-parent shouldn?t mean losing one?s biological parents.
  5. Avoid playing favorites or making comparisons between the children or even appearing to do so. Be fair? and be quiet. Don?t say what you?re thinking if you?re thinking of making a comparison.
  6. Understand your position. You are not your step-children?s ?mom? or ?dad? and it?s unwise to insist that they call you that, especially if their biological parent is still living. Many children call their step-parent by that person?s first name, especially if the kids are older. Work out something agreeable to everyone.
  7. Model the behavior you want to see. Be cheerful, compassionate, patient, and accepting.?

Realize that blending a family is not automatic. It will take some effort on your part. But the happiness of the children is essential to the success of your relationship with your new spouse. So take the time to make this work.?

A mismatched organ transplant typically gets rejected. After receiving mismatched heart transplants, mice spent a week hearing silence, a single-frequency tone, or one of three types of music: Verdi?s La Traviata, Mozart, or the New Age artist Enya.

The strong immune response in the control mice and those who listened to single frequencies caused rejection after a week, and the Enya group lasted only a few days more. But the hearts in the Mozart group beat for 20 days and the Traviata group survived 26 days.

Perhaps classical music calms the immune system, decreasing its responsiveness ? the Traviata mice had fewer white blood cells and immune-signaling molecules. Or maybe mice just prefer Verdi to Enya.

Harvey A. Silverglate: Boston College, the Belfast Project and the Academy of Betrayal: Protection of Academic Freedom Until It Becomes Inconvenient

The "Ivory Tower" has come to represent, to many, the aloofness that has increasingly infected the academy. But, properly understood, the metaphor suggests a fortification, a protection that allows one ensconced within it to follow his intellect and conscience rather than the temptations of popular and governmental approval, not to mention the ever-present corruptions dangled by lucre. But over the course of the last year, Boston College has shown immense institutional cowardice and abrogated its responsibility as a protector of academic freedom. The highly regarded Jesuit liberal arts college has been so betrayed by its administration, and in turn has so betrayed its most fundamental mission, that it has been left to the ACLU of Massachusetts to step-up in a battle for which those cowering behind the ivy walls have all but thrown in the towel before ever truly engaging in the fight.

The remarkable imbroglio began when, in May of 2011, the United States Department of Justice subpoenaed a number of academic documents solemnly entrusted to BC's possession, protection and care. The American governmental demand for the production of the documents arose out of a Northern Irish criminal investigation; rather than fight the subpoenas tooth and nail, as was its clear moral and academic obligation, Boston College's haphazard and half-hearted defense of the fundamental importance of academic freedom has embarrassed the institution, threatens to harm academics everywhere and, not so incidentally, endangers the lives of people brave enough to reveal, for posterity, important historical truths.

In 2001, two scholars, former IRA member Anthony McIntyre and journalist Ed Moloney, founded "The Belfast Project", a groundbreaking oral history undertaking centered at Boston College and meant to chronicle "The Troubles" in Northern Ireland, a decades-long bloody struggle which defined generations of Northern Irish and English alike. By 2001 the fighting had slowed considerably, and in July of 2005 the Irish Republican Army council announced that it would no longer pursue violence but rather would seek to achieve its goals through political processes. Sensing the changing times, Moloney and McIntyre created a ground-level chronicle of the decades-long struggle, and sought frank and truthful testimonies from all parties involved--without judgment, and without fear of repercussions. In order to solicit truthful narratives, Moloney and McIntyre--with the express backing of Boston College--promised their interview subjects that the testimonies they gave would be confidential until death.

But a Police Service of Northern Ireland (PSNI) investigation would put that confidentiality to the acid test. In a case that has been duly chronicled in the press here and abroad, a woman named Dolours Price--a Belfast project interviewee and former IRA member--was reported by an Irish newspaper to have admitted involvement in the still-unsolved murder of Jean McConville, a Belfast mother of ten apparently slain as a suspected informant in 1972. (McConville's remains were finally discovered in 2003.) British authorities--in conjunction with the PSNI investigation--have requested that the United States Department of Justice subpoena Dolours Price's "Belfast Project" recordings and interview materials. The United States has a "Mutual Legal Assistance Treaty (MLAT)" with Britain, and so the DOJ complied; subpoenas were issued, and Boston College initially sought to "quash" them, seemingly taking the stance that the dictates of academic freedom, protected by the First Amendment to the Constitution, trump the needs of a forty year old police investigation in another country. The case ended up in a Federal District Court in Massachusetts before Judge William Young. Tellingly, Judge Young started off on the wrong foot when he denied the scholars, McIntyre and Moloney, an official role as "intervenors" in the litigation because, in the judge's either na?ve or cynical view, "Boston College adequately represents any potential interests claimed by the Intervenors." Given Boston College's weak defense of the scholars' and its own academic freedom, that determination would become laughable.

The central question before the court turned out to be whether the guarantee of confidentiality provided by the academicians to the interviewees was due any legal protection. News reporters have some limited degree of privilege when it comes to their guarantees of confidentiality extended to putatively confidential sources, lest there be a "chilling effect" on the vital work that reporters do. This partial privilege has come to exist despite Branzburg v Hayes, the landmark 1972 Supreme Court case that seemed to reject any "reporter's privilege" lodged within the First Amendment. But some sort of reporter's privilege did survive, because the most significant opinion to emerge from that case was not Justice ByronWhite's majority opinion, but rather Justice Lewis Powell's very short concurrence, in which he "emphasize[s] what seems...to be the limited nature of the Court's holding" and assures that there be a "proper balance between freedom of the press and the obligation of all citizens to give relevant testimony with respect to criminal conduct." That balancing test, mandated by the justice who cast the crucial fifth vote, has led lower court judges and even prosecutors to act with some admirable restraint before forcing reporters to betray sources where prosecutors might not need the information or might have other sources from which to draw the information they need.

This seemingly thin reed to which newspapers and news reporters have clung for four decades now has enabled considerable resistance by those subpoenaed as well as a surprisingly sympathetic response by many courts. As Judge Young himself would state in his eventual decision, there are three thresholds which traditionally need to be met in order to compel a reporter to give up confidential information: The information sought needs to be demonstrably relevant to the investigation; the materials cannot be "readily available from a less sensitive source;" and the inquiry has to be "non-frivolous." Clearly the Northern Irish murder investigation represented a "non-frivolous" inquiry, even if it might have been undertaken for purely political or other mischievous reasons; but surely the other two planks were places and principles where Boston College could have been expected to stand and fight.

However, BC instead demonstrated little interest in, and inadequate institutional courage to undertake, a full-throated defense of an "academician's privilege." As Judge Young would report in his eventual decision, "in its first motion to quash, Boston College proposed an in camera inspection of the Dolours Price interviews." In other words, Boston College's very first action in response to the subpoena for privileged academic material was not to fight tooth and nail, but rather to turn the documents over to the Court and allow the judge to scrutinize them. The thinking often goes that if a judge analyzes the information in secret ("in camera" means "in a chamber," as in the Judge's private chambers), he can balance the interests of the investigation on the one hand, and the interests of preventing a "chilling effect" on the other. Judge Young granted Boston College's request, and so Boston College turned over the Dolours Price tapes to the Court for a determination of their relevance. In one of the great ironies of the case, the government actually argued against this disclosure of the tapes or transcripts to the court, stating that on jurisdictional grounds the court did not have the right to undertake such a review.

But the surrender of the transcripts to the judge so early in the litigation had a profound influence on the ultimate outcome of the case in the lower court. By turning over the tapes right away, Boston College deprived itself of the option of engaging in a celebrated Catholic tradition that extends as far back as Thomas More: civil disobedience to unjust secular authority that seeks to infringe on age-old privileges of civil and religious society. Following a negative ruling, Boston College could have refused to turn over the tapes, arguing that despite what the government may say, academic privilege matters and must be given hearty protection as a matter not only of law, but of conscience. No Boston College administrator showed even an ounce of the bravery of newsmen and women who have marched into prison rather than give up their confidential sources. Reporters have endured prison sentences not merely to protect their sources and their own work, but to ensure the vitality of their profession; the academicians and clerics (BC has, after all, both secular and religious obligations) had the opportunity to do the same, and they ran from it.

Nor did Boston College utilize all of the robust institutional resources at its disposal in the fight. BC has, after all, a top-notch law school where reside any number of constitutional law professors who would surely have been interested in working on such a consequential constitutional case, not to mention hundreds of law students who would have loved the opportunity to dive into a high-profile and very consequential defense of the First Amendment protection of academic freedom. There is no indication that Boston College's administration approached its trustees in order to garner further support, or made some other gesture to send a message to both the Department of Justice and Judge Young that it was hunkering down for a pitched battle to defend principles vital to the church, to the academy, and more broadly to civil society. (The institution's lack of full-bore investment in the case seemed all-the-more surreal when part of the case was argued on Boston College's campus, in conjunction with an earlier agreement by Judge Young to bring actual cases to law school campuses).

It was little surprise, perhaps, that on December 16th, 2011, Judge Young ruled against Boston College, and ordered the school to turn over the Dolours Price tapes to the government , for transmission to the Brits and then to Northern Ireland. Furthermore, he required that BC hand over to the court additional interview materials related to the McConville murder for in camera review so the court might "enter such further orders as justice may require." As we have argued elsewhere when discussing this case, Judge Young's decision was demonstrably flawed; it paid lip service to the existence of an academic's privilege somewhat akin to that of a reporter, but then slipped too quickly, and without significant evidence, to the facile conclusion that the transcripts were essential to the investigation and contained information that could not be gleaned elsewhere. Young did not describe what investigative efforts had been undertaken by the Police Service of Northern Ireland; nor did he show that other resources for finding the privileged information had been exhausted. Rather, he concentrated the majority of his decision on the importance of the Mutual Legal Assistance Treaty with Great Britain, and tersely dispatched with the question of academic freedom in a few short pages. One had the distinct feeling that the judge was prepared to pay lip service to the existence and importance of an academic's privilege, but that he knew from the start where he wanted the materials to go in the end.

Boston College did not immediately appeal the decision; rather, it was left to McIntyre and Moloney, to whom Judge Young had earlier denied entry into the litigation, to themselves appeal the ruling. The scholars indeed appealed and sought a stay of Judge Young's turnover order - on the ground that the disclosure of the Dolours Price interviews could place them - the interviewers - in actual physical danger. Should the interviews get out, McIntyre and Moloney fear they will be viewed as collaborators, and the sentence for collaboration has often been death. The Court of Appeals, demonstrating the non-frivolous, indeed profound, nature of McIntrye's and Moloney's objections to what Judge Young did, stayed the turnover order and will take up the matter in April. One has to assume considerable chagrin on BC's part, since it had earlier announced that it would not appeal Young's initial turnover order "because the court both accepted Boston College's argument that government subpoenas for confidential academic materials requires heightened scrutiny, and agreed to review the materials in camera."

Adding insult to injury, on January 20th Judge Young demanded that, should Moloney and McIntyre fail in their appeal, Boston College must immediately turn over, additionally, the materials from seven more interviewees. Judge Young's haste demonstrated that he was inclined to run roughshod over BC and the scholars, giving them little time to catch their breath. The scholars proved more fleet-footed than BC; indeed, it took Boston College a full month to decide to appeal Judge Young's second ruling; they have not appealed, and reportedly do not intend to appeal, Judge Young's first ruling regarding the Dolours Price interviews. Indeed, Boston College has indicated that the decision to turn over Dolours Price's interviews to the Department of Justice--at the request of the British and in conjunction with a forty-year old unsolved murder in Northern Ireland and with no indication in the decision that there was absolutely no other way to get at the information in her interviews--is perfectly fine with them. Indeed, as researcher-intervenor Ed Moloney put it on a website dedicated to the case, Boston College's appeal of the release of the seven additional interviews, evading the main event, is nothing more than a "sham fight at Scarva."

But while Boston College may have abrogated its duty to protect academic freedom, the two intrepid researchers, and, as of February 27th, the ACLU of Massachusetts, have stepped into the fight. The ACLUM filed a powerfully-argued friend-of-the-court brief that makes the points BC should have made. [Full disclosure: Author Silverglate sits on the Legal Committee of the ACLU of Massachusetts and cast a vote in favor of ACLUM's filing its brief in the Boston College case.] The scholars are also seeking other, more political avenues of redress: they have secured the support of Massachusetts Senator John Kerry, who in a public letter addressed to Secretary of State Hillary Clinton, urges Secretary Clinton to "work with the British authorities to reconsider the path they have chosen and revoke their request" for the transcripts.

But despite the intervention of the senior senator from Massachusetts, Moloney and McIntyre face an uphill battle. The already difficult task of overruling a lower court decision was compounded by Boston College's lack of any demonstrable reluctance (and spine) to turn the transcripts over to the authorities. Moreover, as the scholars were initially denied (by Judge Young) the right evento defend in court their pledges of confidentiality, the first hurdle will be for the Court of Appeals to grant them the "standing" to litigate against the Department of Justice in this matter. The second hurdle, of course, will be their ability to win the privilege argument on its merits once they've earned the right to make it.

But the ACLUM is a formidable ally, and their friend-of-the-court brief makes a number of striking but perfectly logical and obvious points. One particularly powerful argument is that to turn over the documents to the British government without a clearer indication that doing so was a last resort would represent a disturbing indication "that the Constitution surrenders US citizens to foreign powers with fewer safeguards than are afforded to citizens subpoenaed by domestic law enforcement agencies." In other words, they argue, Northern Ireland may not guarantee certain protections of speech, but the United States does, and US citizens should continue to retain those protections even when the infringer is a foreign power acting through the instrumentality of the U.S. Department of Justice via a treaty.

While it is heartening that the ACLUM has seen fit to enter the litigation, the sad truth is that were Boston College more principled, the help might not have been necessary. There are a number of possible theories as to why BC has abdicated such a fundamental responsibility so logically reposed in the academy. Maybe the principles of academic freedom were not deemed worth the cost of a real legal battle. Or perhaps BC feared that a protracted legal battle would endanger its federal dollars, funds which BC President William P Leahy declares in his book, Adapting to America, have been essential to "accommodate[ing] postwar demand for education." But no matter the reason, members of the BC community should be concerned about what the administrators of their institution have done, or failed to do.

The Truth About Stock Buybacks ? Why Buybacks ... - How to Invest

I am not afraid to say that I hate stock buybacks. Companies announce stock buybacks all the time as if they are doing the investor a huge favor by purchasing some of the outstanding shares. However, the truth is that most stock buybacks are not in your best interests as an investor and why this is the case.

Conventional Wisdom on Stock Buybacks

Many investing courses and texts teach that stock buybacks are an easy way for a company to boost earnings per share when other uses for the cash are not available. A stock buyback often results when a company is doing very well and earnings are great but they are unable to find an investment opportunity that can sustain growth.

In light of no other viable investment opportunities, a company can use a stock buyback to decrease the number of outstanding shares. By reducing the number of shares, the earnings per share will go up even if the earnings stays the same, thereby creating earnings growth even without extra revenue.

For example, let?s say a company is earning $10 million a quarter and has 10 million shares outstanding. This company then has an earnings per share of $1. If the company decides to buy 10% of their stock back, the company then all of a sudden is making $10 million a quarter on 9 million shares. This company is now making $1.11 per quarter, an increase of earnings per share of 11% with no change in revenue.

By increasing earnings per share, the shares will inevitably become more valuable, or so the story goes. While using cash to drive up earnings per share looks good on paper, it unfortunately rarely works out this way in practice. The problem is not that increasing earnings per share will not drive up stock price (it does), but rather that stock buybacks rarely result in any meaningful change in EPS.

Yes, you read that right: stock buybacks are justified by companies as a means to boost earnings per share, but stock buybacks rarely meaningfully influence earnings per share. This is why buybacks are useless to the typical investor.

Why does this happen? Here are the major problems with this approach:

Most Buyback Programs Are Too Small

One reason stock buybacks do not have a significant influence on earnings per share is because they are too small to actually to shrink the earnings per share at a meaningful level to an investor. Consider Apple?s (AAPL) recent stock buyback announcement, where the company announced they would be buying back $10 billion dollars worth of stock over a 3-year span.

This amounts to less than 2% of the company?s current market cap being purchased back over a 3 year period. This means that earnings per share might go up about 2% over three years as a result of this buyback, minus the growth they would have received by investing the money elsewhere.

You might be thinking.. why would a company buyback such a small amount of stock? Well that is because..

Most Stock Buybacks are not Meant to Raise EPS

Many companies issue these small stock buybacks with no intention of raising EPS. Instead, these shares are used as part of compensation packages for executives. Companies often buy back their stock and then give it all away to their executives and vice presidents as a way to pay management extra money. Stock buybacks are where the stocks for stock options come from in older companies that have been public for a long period of time.

There is nothing wrong with buying back some stock to reward executives who have run successful companies. For example, the $10 billion buyback on AAPL over the next few years is well-deserved as over the last 15 years they have gone from a struggling company to the largest market cap in the world at the time of this writing.

The problem is that many companies that do these buybacks are not doing as well as AAPL, using earnings to reward mediocre performers and then have the gall to announce the stock buyback as if they were demonstrating their strength and boosting earnings per share, when their plan all along was to line the pockets of management.

Of course, management cannot line their pockets unless they are actually selling the stocks they receive, which leads me to my next point:

Many Shares from Buybacks Eventually Reappear on the Market

When companies give out stocks as bonuses to executives, these executives then sell the stock in order to get money. I can?t blame them ? they are being compensated after all with the stock. This stock gets sold to a shareholder like you or I and becomes part of the general shares outstanding once again.

That?s right, companies buy back stock and give it to executives. These executives then sell the stock, putting it right back on the open market. The end result is that the total number of shares outstanding does not change after the stock buyback (at least not as much as advertised).

Long Term Stock Buybacks May Secretly Fail

Sometimes the lack of a meaningful change in earnings per share is caused by the fact that stock buybacks often are never seen to completion. This is particularly true over buybacks which are announced that are covering a multi-year period. When a company says they are planning to buy back a certain number of shares over a multi-year period, this is something you have to take with a grain of salt.

When a company announces in 2012 that they are re-buying stock in 2016, if they nix the program and stop buying the stock in 2014 when money is a little tighter, most investors will be none the wiser. It is not really newsworthy when a company stops a buyback program they announced a year or more in the past.

As a result, be careful of buying on the news of a multi-year buyback program. In fact, I would not even consider multi-year buybacks as a plus for a company. The only thing I care about that far in the future when it comes to a stock is their projected earnings and growth opportunities.

A Dividend Boost is a Much Better Service to Investors

Not only as stock buybacks often misleading, but the simplest way to create wealth for investors is to give them the money directly. If a company was during well and truly wanted to reward its shareholders, it would boost dividends.

When a company is doing well and is truly looking out for investors, they raise dividends or even give 1-time bonuses. Not only is money directly in the hands of the investor the best course of the investor, it is also the most efficient course. Companies who have the money to buy back stocks are often running on 52-week highs ? buying back a stock that has already run is a waste of capital.

Exceptions to the Rule ? Spotting a Good Buyback

Like anything in life, there are some exceptions to this rule. The best buybacks are large buybacks which are slated to be completed in the year they are announced. Buybacks that can meaningfully increase earnings per share (i..e at least 8% of the company, in my opinion).

Furthermore, I like to see either a company which has a history of following through with its buybacks (check for any failed or cancelled buyback programs in the past) or an increase in dividend in conjunction with the buyback. I cannot fault AAPL for their $10 billion buyback over 3 years because at the same time they announced their buyback, they announced a dividend program which would amount to about $10 billion annually, a much larger portion than the buyback.

You should also know that some banks are being regulated by the Government in regards to how much money they can distribute via a dividend. After the banking bailout, the Government has set guidelines on what banks can and cannot do. One thing in particular the Fed has been doing is pushing banks towards stock buybacks and away from dividends, or at least making the banks do some of each rather than allowing the banks to issue a straight dividend.

No matter what the buyback looks like, as an investor I would always prefer an increase in the dividend or even a one-time payout over a stock buyback.

If I am holding a stock that goes up after a buyback is announced, I will enjoy the run up in price, but I will not jump on a new stock after a buyback is announced as most stock buybacks really mean nothing to your bottom line. Most buyback shares are given to employees and then ultimately float their way back out onto the open market, leaving you with the same number of shares outstanding as you had before the buyback was announced.

As a general rule, do not count on most buybacks to boost the earnings per share of a company or even the net worth of your holdings in that company over the long term.
